Unilever announced that, in regard to its October announcement about its 82% acquisition of Russian beauty company Concern Kalina, Unilever has obtained the necessary regulatory clearances in Russia and Ukraine and hascompleted the acquisition of 82% of the outstanding shares of Concern Kalina. The transaction will transform Unilever’s beauty business in Russia, giving it leading positions in skin care and hair care, as well as establishing a presence in oral care. It will also strengthen and rebalance Unilever’s portfolio and competitiveness in Russia, an emerging market with considerable potential and one of Unilever’s priority countries.

The amount paid to acquire the 82% stake is approximately RUB17.4 billion, approximately RUB0.7 billion higher than the amount previously announced, reflecting a number of adjustments in respect of cash equivalent items. The enterprise value for 100% of Concern Kalina is unaffected and remains approximately RUB25.9 billion. Also, Unilever plans to cause Concern Kalina to delist the shares from the Russian Trading System (RTS) and MICEX stock exchanges in December 2011.

On or about January 10th, 2012 Unilever will offer to acquire all of the remaining Concern Kalina shares in Russia. The price per share is expected to be RUB 4,267.92, as the highest price Unilever paid to the selling shareholders, but the final amount will be determined by Russian law. Concurrently, Unilever will offer to all holders of Concern Kalina’s American Depositary Shares (ADSs) and Global Depositary Shares (GDSs) a price per ADS/GDS equal to RUB 4,267.92, without interest and less any fees, currency conversion expenses, applicable taxes and government charges. This amount will be converted to U.S. dollars on or about the date that Unilever pays for the Concern Kalina shares tendered in the Russian offer and move the total sale forward.

In addition, if after consummation of the offer, Unilever and its affiliates own shares representing more than 95% of the outstanding shares of Concern Kalina, Unilever intends to purchase any Concern Kalina shares (including those represented by ADSs/GDSs) not owned by Unilever and its affiliates at a price determined by Russian law.

Hair care- thick and thin

Nowhere is the infamous saying about greener grass on the other side of the fence more often used than with hair texture, length, color and pretty much any other element in hair styling. Having grown up with very curly - almost afro hair myself in the midst of people who all had either bone straight or wavy hair I know all to well the plight of those wishing for the other hair type. I used to dream of having straight hair and cursed my own texture. Today I have no desire to change my hair texture at all - mostly because once it starts getting thinner, that problem basically makes all your others seem small and insignificant.

What I learned from this was that, if you have enough hair, then you can easily learn to love it - no matter what the hair texture or color. Modern styling techniques also give you many ways to change your hair type at least for a little while.

What exactly does it mean to have thick hair?

People sometimes mistakenly call their hair thin and it can in fact look that way from a distance. However this is usually when someone has very straight and/or very fine hair. Fine hair means that each individual hair is thin but that you have that much more of them on your head (natural blonds have this for example). Now fine hair has other problems such as sensitivity to chemicals, but overall it can be very thick too.

Thick hair basically means lots of it on the whole. You either have lots of individual hairs or each one is thick or both. People often measure the thickness of their hair by using a tape measure to determine the circumference of their ponytail. Another, far less accurate method, is to do a parting and see how much the scalp shows.

It is not about having big hair. That's another common misconception. Big hair just looks thick. This effect is achieved with lots of volume through teasing or with natural curls or perms. I for example have big hair even if it's is quite thin and yet people still sometimes say it's thick. There is a big difference between lots of volume and lots of hair.

Nobody with thick hair really wants thin

With thick hair you have so many more styling options. Basically there's pretty much no hairstyle that a stylist won't be able to do, provided the length is right. Hell you can even get it thinned if you want by using thinning shears. This is not so the other way round. Thin hair needs a certain cut - a really good cut as well. Your options are far fewer. Unless you go for something like extensions, you have to stick to certain layered hairstyles. Big hair styles are pretty much reserved for people with a certain hair thickness too.

On top of this, our hair tends to thin out as we age anyway and this is also true for women though not nearly as much as for men. This is why thicker hair tends to make people look younger.

I know from my time when I had thick curly hair, how much I cursed having to untangle it. Of course, at the time, I blamed it on the texture and not on the thickness. I somehow thought that straight hair would never tangle. Well I just didn't know better. But if someone had given me the choice to go thinner and therefore have far less hassle untangling, then I'd have NEVER taken it.

To somebody with thin hair, the complaints from people with thick hair about dealing with knots and tangles are just silly. Seriously, thin haired people would love to be able to complain about such things. And hey, if you just cannot handle it, then it's easy to have it thinned out or just cut shorter.

Rogaine-for hair loss

With the development of recent technology and medical data, it has been possible to expand the variety of treatments available for hair loss. Medication has become an option favoured by some, one of the most popular remedies being Minoxidil - or Rogaine as it is known in the market trade.

The benefit of minoxidil in relation to hair growth was actually discovered by accident in the 1980s, when it was being introduced as a drug for the treatment of high blood pressure. While this all sound very promising, taking the drug is hard work in itself. Minoxidil must be taken twice a day for a while until results, if any, start to show. Also, some more severe side effects of the drug have been known. Depending on the length of the anagen phase, some people are able to grow hair over 20" long, while others no more than 2 cms. Some experts believe that African hair appears not to gain any significant length due to a shorter anagen phase. This is highlighted better in some people that others. The Pigmies for example never appear to comb their hair to induce breakage, and never to undertake hair cuts. Yet still the hair remains no longer than 1 cm. In addition studies show that African grows at a slower rate than the rates that are generally quoted in text books. In fact it grows around 9 cms a year. Jojoba oil used in hair care softens the scalp skin and gives extra shine and bounce.


To cut the grease of oily hair, add one or two tbsp of cider vinegar during the final rinse.


Olive oil is an excellent conditioner for dry hair. Massage your hair thoroughly especially the ends and middles. Wrap a warm towel around your head for 30 minutes, as oil will penetrate the hair shaft. Then wash it using a gentle dry hair shampoo.


After washing your hair, wash it with some milk and let it sit for 15 minutes or so. Rinse off with warm water to get the softness and natural shine.


For oily hair, beat one egg white and simply apply it on dry hair. Leave it till it dries and becomes crusty. Wash it off with cold water and shampoo. This will help reduces the oiliness if done regularly.

Washing Your Hair - Carefully!

There are many varying opinions out there as to how often you should wash your hair. Some people advice everyday while others suggest weekly or longer! I think it depends on your hair type and your personal preference. Clean hair is beautiful hair. But whatever your choice is, be sure to treat your hair with care.


It helps if your hair is tangle free before shampooing, so using a natural bristle brush, distribute the sebum (natural oils that are secreted from your scalp) to the hair ends. Be gentle with your hair. When washing your hair, use a quality shampoo with a neutral ph balance. Concentrate on your scalp, massaging well with your fingertips (not your fingernails), allowing the suds to flow over the rest of your hair. Massaging your scalp will help stimulate blood flow, nourishing the hair follicle, aiding hair growth.


Finish off with a quality conditioner. This helps to minimise tangles, nourish and protect your hair. If hair is oily, apply conditioner to the ends only. Using a final rise of cold water closes the follicles and makes the cuticles to lie flat with the result of less breakage and very shiny hair - Bonus!


Towel dry hair, gently squeezing out excess water. Then, using a wide tooth comb, start at the ends and work your way up to the scalp, combing hair in sections. Wet hair stretches and will break, so handle with care.


Natural air-drying is the least damaging for your hair but this just isn't always practical, so use a low heat setting and only partially dry hair, concentrating on the hair closest to your head. You will feel more comfortable especially if you live in a cold climate.


If you continue to care for your hair you are more likely to keep it longer, both in time and length!

Chances are, you have not given it any thought at all - But you should...


What Do You Put on Your Hair?


We are all aware that we should not use artificial or potentially toxic ingredients in our food. Indeed many of us have made the conscious decision to go one step further by choosing natural skin care products instead products containing synthetic and possibly harmful chemicals.


But when it comes to personal care products such as shampoos, conditioners and liquid/solid soaps, etc., we tend to disregard the concept of remaining with natural products. There's a simple explanation for this.


We, the consumers, are basically under the impression that washing our hair and body is not likely to poison us. After all, the soap stays on the hair/skin for only a short period of time and gets washed off when we're finished. How could the chemicals in a shampoo or a conditioner possibly affect us adversely?


Fair question. However, if you think that they don't, you would be quite wrong.


The skin can absorb chemicals very quickly and easily if the molecules are not too large for it to do so. In addition, the skin is never in perfect condition. That is, there are tiny little tears, cuts and abrasions on our skin almost all the time.


Scratching the skin to relieve an itch, for example, can easily damage the skin. You can't necessarily see it with the naked eye, but it is nevertheless damaged. Insect bits, clothes rubbing repeatedly against the skin, etc., can all cause microscopic damage to the skin and jeopardise its integrity.


Where the skin is damaged the larger molecules, which would normally not be absorbed, can enter the deeper layers of the skin and may enter the bloodstream access to anywhere in the body.


The problem is that when you use a product that does contain questionable ingredients, which have the potential to cause harm, you inadvertently allow these ingredients to be absorbed by the body, without intention or knowing about it.


Shampoos are a classic example of potentially toxic cocktails we seem to be oblivious to. Below is an example of ingredients used by a well-known manufacturer of personal care products who distributes their products worldwide. It is a typical example of the type of ingredients you would find by looking at the ingredients of shampoos on sale in your local shopping centre or at your hairdresser.


The ingredients below are from a 2 in 1 Shampoo & Conditioner. Where possible I provided some comment after the ingredient that provides some insight into the safety of the particular ingredient for human use.


It must be said, however, that the toxicity of some of the ingredients is related to the consumption of the ingredient and while a shampoo is not consumed as such, chemicals can nevertheless be absorbed through the skin and enter the blood stream, essentially being the same as if you had eaten them.


Example of ingredients found in a 2-in-1 Shampoo & Conditioner


Preservatives


* Diethanolamine - Suspected: Carcinogen (causes cancer), Cardiovascular or Blood toxin, Gastrointestinal or Liver toxin, Kidney toxin, Neurotoxin (toxic to your nervous system), Respiratory toxin, Skin or Sense Organ toxin.


Surfactants


* Ammonium Lauryl Sulfate - no scientific evidence of toxic effects on humans.


* Ammonium Xylenesulfonate - no evidence of toxic effects on humans. Some minor irritation in rabbits to skin and eyes have been reported.


Emulsifiers


* Cetyl Alcohol - this one is find and dandy,


* Cocamide MEA - derived in part from coconut oil, potentially toxic (International Journal of Toxicology; 18 (Suppl. 2). 1999. 9-16).


Conditioning Agents


* Cetyl Alcohol - not a problem (J Am Coll Toxicol Vol:7, 3 (1988) pp 359-413.)


* Dimethicone - please see: DMDM Hydantoin below,


* Glycol Distearate - no scientific evidence of toxic effects on humans,


* Trimethyl Tricaprylate/Tricaprate - Recognized Carcinogen, Suspected: Neuro- and Reproductive toxin,


* Panthenol - Dexpanthenol is the alcohol corresponding to pantothenic acid (the water-soluble vitamin B5)


* Panthenyl Ethyl Ether - May cause contact dermatitis.


Buffering Agent:


* DMDM Hydantoin - contains Formaldehyde, which is a known carcinogen (causes cancer). Causes allergic, irritant and contact dermatitis; headaches and chronic fatigue. The vapour is extremely irritating to the eyes, nose and throat (mucous membranes).


* Methylchloroisothiazolinone - causes cosmetic allergies and potential dangerous neuro-toxic effects.


* Methylisothiazolinone - causes cosmetic allergies and potential dangerous neuro-toxic effects.


* Sodium Benzoate - Suspected: Cardio-vascular or Blood toxin, Gastrointestinal or Liver toxin, Kidney toxin, Neurotoxin, Skin or Sense Organ toxin.


Chelator:


* EDTA - known carcinogen (causes cancer).


I think you get the idea.


Chemicals such as these are not what you would want to put on your body, hair or in fact anywhere near you, I'm sure. Problem is that no one warns us of the potential dangers posed by some of these ingredients and so we use them thinking that regulations and government controls would not permit potentially toxic chemicals to be put into products we use everyday...


In addition to the above ingredients, which basically make a shampoo with conditioning properties, you may also find other ingredients in your shampoo such as vitamin B5. Mostly, this is of a synthetic origin (as in the example above), not natural. This is because a synthetic version of vitamin B5 is much cheaper than using a natural source of vitamin B5.


The same goes for vitamin E and others. If you bought vit E from a wholesale supplier in Sydney, 25ml of vitamin E (synthetic) would cost AUD $11.00 whereas it's natural counterpart will cost you AUD$18.00 - quite a difference, and remember this is the wholesale price.
Fragrances


Most personal care products such as shampoos have a pleasing smell. This smell comes from either a synthetic or natural ingredient. Most 'natural scent' fragrances are however synthetic. Not in every case, but imagine a shampoo that supposedly contains Jasmine. Jasmine oil (the essential oil of Jasmine) cost more than its weight in gold! Do you really think a shampoo that costs a few dollars will contain pure essential oil of Jasmine? I don't think so. The same goes for Rose and several other popular fragrances.


So chances are, even if the manufacturer does not use Jasmine, that the fragrance is also synthetic. This is simply because synthetic fragrances are cheaper than the real thing.


Considering that most shampoos and conditioners contain many potentially toxic and synthetic ingredients, isn't it about time we seriously considered what we are putting on our hair?

Earthy Flavorance Henna

Henna is a natural hair color, derived from the plant Lawsonia Innermis. This has been in use in India and other parts of Asia for quite a long time. Indigo is another herbal, which is safe for use as natural color. The dried leaves of the plant Indigofera are used. The hue is deep blue, and when mixed with henna it gives an excellent array of shades depending on the relative quantities [henna and indigo].
